Any reason for a gaming rig to have Ultimate over Premium?

Not really. Ultimate has literally everything, and unless you really want XP mode, you won't use it. There is a nice comparison here:

64 bit over 32 bit is a bigger difference than Ultimate over Premium. You won't notice anything missing if you go with Premium, and you won't notice anything extra if you go with Ultimate.

Honestly, unless you need Bit Locker drive encryption or Microsoft's own Virtual Machine XP, i can't think of a single reason to go with ultimate.

And if you *DO* need encryption, I recommend truecrypt [free program]

as far as VMware goes, that's really a very situational thing [having to run programs that absolutely WILL NOT RUN on Vista/7] The odds of most normal users needing it is negligible.
